| Abstract | 法人是一个有着悠久历史的重要的法律概念，它整合了发展历程贯穿罗马法、中世纪和后中世纪的多个概念和制度。本文将以时间为序，系统地对这些经验事实进行考据，探讨法人概念和制度的历史源流，包括法人各类型的形成过程，尤其是社团和财团的早期发展历程；接着，本文将围绕历史上出现的著名的法人拟制说和法人实在说，探讨法人的法律人格问题以及法人与其代表之间的关系问题；最后，鉴于法人理论和制度在现当代的最新发展主要体现在公司法领域，本文将简略地论述与公司相关的几个特别问题。本文主要以私法为导向和切入，但亦触及公法中与法人制度有着重要联系的国家理论。 |
