this article studies the distribution of powers between the general meeting and the board of directors in public companies in Macau law. In public companies, contrary to private companies, shareholders cannot pass resolutions on matters of management unless they have been requested by the board of directors. However the law says that the board of administration has to manage the company respecting the resolutions of the shareholders. Hence the need to clarify whether the board of directors is or not under the duty to follow the shareholders resolutions pertaining to the management of the company, even if only when such a resolution has been requested by the board of directors itself. The answer is negative: under no circumstance is the board of directors of a public company under the obligation of follow resolutions of the shareholders on matters relating to the management of the company.
